Terms of Service

Effective date: April 4, 2026 · DigiDue LLC (“DigiDue,” “we,” “us,” or “our”)

These Terms of Service (“Terms”) govern your access to and use of the public marketing website operated by DigiDue LLC at digidue.com and www.digidue.com (the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Important: Use of DigiDue software, APIs, paid subscriptions, or customer portals is governed by separate agreements (such as a master services agreement, terms of use for the application, or order form). These Terms apply specifically to the informational and marketing Site, not to the full product unless we expressly state otherwise.

1. Eligibility and acceptable use

You may use the Site only in compliance with these Terms and all applicable laws. You agree not to:

  • Use the Site in any way that could damage, disable, overburden, or impair our systems or interfere with any other party’s use;
  • Attempt to gain unauthorized access to any systems, accounts, or data related to the Site;
  • Use automated means (such as scrapers or bots) to access the Site in a manner that sends more request messages than a human could reasonably produce in the same period, except for public search engines indexing in accordance with our robots policy if any;
  • Introduce malware, viruses, or harmful code;

The Site and its content—including text, graphics, logos, images, and layout—are owned by DigiDue LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal or internal business purposes. You may not copy, modify, distribute, sell, or create derivative works from the Site or its content without our prior written consent, except as allowed by applicable law.

“DigiDue” and related marks are trademarks of DigiDue LLC. Other names and logos may be trademarks of their respective owners.

3. Information you submit

If you submit information through contact forms, demo requests, or similar features on the Site, you represent that the information is accurate to the best of your knowledge and that you have the right to provide it. You grant us permission to use that information to respond to you and for the purposes described in our Privacy Policy. Do not submit confidential, regulated, or sensitive personal data (such as full payment card numbers, government ID numbers, or health records) through general marketing forms unless we explicitly request it through a secure channel.

4. No professional advice

Content on the Site is for general information and marketing purposes only. It does not constitute legal, financial, accounting, or other professional advice. You should consult qualified professionals regarding your specific situation.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Some jurisdictions do not allow certain disclaimers; in those jurisdictions, our warranties are limited to the fullest extent permitted by law.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DIGIDUE LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNTS YOU PAID US, IF ANY, FOR ACCESS TO THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (WHICH TYPICALLY WILL BE ZERO FOR PUBLIC SITE USE).

8. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless DigiDue LLC and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or your misuse of the Site.

9. Changes

We may modify these Terms at any time by posting the updated Terms on the Site with a new effective date. Your continued use of the Site after the effective date constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Site.

10. Governing law and disputes

These Terms are governed by the laws of the United States, without regard to conflict-of-law principles. Subject to mandatory protections in your place of residence, you agree that courts in the United States shall have jurisdiction over disputes arising out of or relating to these Terms or the Site, and you consent to personal jurisdiction in those courts. Nothing in this section limits either party’s right to seek injunctive or equitable relief where appropriate.

11. General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and DigiDue regarding the Site. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
